ISLAMABAD: The Federal Board of Revenue (FBR) has constituted sub-groups for restructuring and revitalisation of Pakistan Revenue Automation Limited (PRAL) without the approval/consent of the Board of Directors.

It is learnt that the FBR has issued a notification on the constitution of sub-groups for restructuring and revitalization of PRAL.

According to sources, the PRAL is a public sector company governed by Code of corporate governance rules having an independent board of directors who alone are competent for running a public sector company.

The FBR being a shareholder though has directors on the board. Yet has no authority to bye pass the Board of Directors. The decisions of running the public sector company are made by the board of directors and none other. No such notification can be issued without the approval of the board of directors. The FBR has directors and then there are independent directors duly appointed by the concerned Ministry. All the decision would be taken by the majority of the board of directors of the public sector company.
